Nebula Terms of Use

This is a convenience translation. The Portuguese version at /termos.html is the legally governing text for users in Brazil; in case of any conflict, the Portuguese version prevails.
In short: Nebula provides satellite imagery and decision-support readings for farming. It does not replace agronomic field inspection, especially for radar readings, which are still experimental. Paid plans are billed as recurring subscriptions via Stripe and can be cancelled anytime, effective at the end of the paid cycle.
1. Who we are and what these terms cover
Nebula is a remote-sensing platform operated by [Legal company name to be confirmed], CNPJ [to be confirmed], referred to as "Nativa Agro", "we" or "us", available at nebula.nativaag.com.br (the "Service" or "Platform"). These Terms of Use govern access to and use of the Service by any individual or company ("you", "user" or "customer"). By creating an account or using Nebula, you agree to these terms and to our Privacy Policy.
If you accept these terms on behalf of a company, you represent that you have authority to bind it to this agreement.
2. Description of the Service
Nebula lets you:
- register growers, farms and fields with their geographic boundaries;
- browse optical imagery (Sentinel-2) and derive indices such as NDVI from public data;
- browse radar imagery (Sentinel-1) and readings of likely vegetation and soil change;
- generate time-series history of these metrics for a field.
2.1. Experimental nature of radar
Radar-based features (Sentinel-1) are explicitly experimental. They indicate likely changes in surface or vegetation structure, but do not directly measure height, biomass, moisture, yield, or any other agronomic quantity, and may be misinterpreted. Radar readings do not replace a field inspection, an agronomic report, or any professional judgment, and must not be the sole basis for management, credit, insurance, or input/production purchase and sale decisions.
2.2. Data source
Nebula processes public Sentinel-2 and Sentinel-1 products available through the AWS Open Data / Earth Search catalog. We do not guarantee availability, freshness, resolution, or coverage of imagery for any specific area or period — this depends on space agencies and providers outside our control.
3. Registration and account
- You must provide true, complete information and keep it up to date.
- You are responsible for keeping your credentials confidential and for all activity on your account.
- Each account is for individual use or a single organization; sharing credentials across separate organizations is not allowed.
- We reserve the right to suspend or terminate accounts with false information, fraudulent use, or violation of these terms.
4. Plans, pricing and billing
Nebula offers a free plan ("Seed") with limits on fields, hectares and monthly processing, and paid plans ("Campo", "Pro") billed as recurring monthly subscriptions. An "Enterprise" plan can be contracted under separately negotiated terms.
- Current prices are shown on the plans screen inside the application before purchase.
- Payment is processed by a third party (Stripe); we do not store full credit card data.
- Your subscription renews automatically each cycle until cancelled.
- You may cancel anytime from the subscription portal inside the application. Cancellation takes effect at the end of the paid period; we do not prorate refunds for unused time, except where required by law.
- Failed payments (declined or expired card, etc.) may automatically suspend paid-plan benefits until resolved; your registered data is kept.
- Once you hit your plan's monthly processing limit, new analyses are blocked until the next cycle or a plan upgrade — there is no automatic overage charge.
5. Acceptable use
By using Nebula you agree not to:
- attempt to bypass technical, rate, or plan limits;
- reverse-engineer, copy, or resell the Service without written authorization;
- use the Service for unlawful purposes or to violate third-party rights;
- deliberately overload the Service's infrastructure;
- bulk-scrape data or imagery from the Service outside the official means provided.
Violations may lead to account suspension or termination, without refund of amounts already paid.
6. Intellectual property
The Nebula software, brand, design, and other elements belong to Nativa Agro or its licensors. Nothing in these terms transfers platform intellectual property to you.
Data you register (grower, farm and field names, and the geometries you draw) remains yours. You grant us a limited license to process that data solely to provide the Service to you.
7. Privacy and data protection
How we handle personal data is described in our Privacy Policy, which is part of these terms.
8. Availability and limitation of liability
- The Service is provided "as is" and "as available," with no guarantee of uninterrupted or error-free operation.
- We do not guarantee the accuracy, completeness, or fitness for any particular purpose of the analyses, especially radar readings (section 2.1).
- To the maximum extent permitted by law, Nativa Agro is not liable for indirect losses, lost profits, crop loss, or agronomic, financial, or business decisions made based on Platform information.
- Our total liability to you, where applicable, is limited to the amount you paid for the Service in the preceding 12 (twelve) months.
- Nothing in this section excludes liability that cannot be legally excluded, such as in cases of willful misconduct or gross negligence.
9. Changes to the Service and these terms
We may change, suspend, or discontinue Service features, and may update these terms at any time. Material changes will be communicated by email or in-app notice with reasonable advance notice. Continued use of the Service after a change means you accept the new terms.
10. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access for violation of these terms, unresolved non-payment, or as required by law. Clauses that by their nature should survive termination (intellectual property, limitation of liability, governing law) remain in effect.
11. Governing law and venue
These terms are governed by the laws of the Federative Republic of Brazil. Disputes are subject to the courts of [city/state to be confirmed], Brazil, waiving any other venue, however privileged, except where mandatory venue rules apply (e.g., consumer relations).
